Terms Of Service

HostPlacenta and the person or people who utilize our web hosting and domain service are parties to this web hosting agreement. Before using any of our services or goods, please make sure you have read and understand our terms.

Customer Agreement

Welcome to Host Placenta ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our web hosting services, website, and any related services we provide (collectively, the "Services"). By using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

HostPlacenta offers dedicated servers, reseller hosting, cloud hosting, email services, domain registration, VPS hosting, reseller hosting, and cPanel hosting. Before signing up for any of the hosting plans and services listed on HostPlacenta, all clients must accept the terms and conditions as specified. In connection with your use of our services, you agree to use them for lawful purposes. Anytime, at its discretion, or in the event that it determines that an account has been misused or for any other reason, HostPlacenta has the right to suspend or terminate a customer's access to any or all of the services offered.

Please read these Terms carefully.

1. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms. Host Placenta reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Services constitutes acceptance of any changes.

2. Services Provided

Host Placenta provides web hosting services, including but not limited to:

  • Shared hosting
  • Virtual Private Servers (VPS)
  • Dedicated hosting
  • Cloud hosting
  • Domain name registration and management

All Services are provided "as is" without any warranties, express or implied, including those regarding uptime, availability, or suitability for any particular purpose.

3. Account Registration

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Host Placenta immediately of any unauthorized access or breach of security.

4. Acceptable Use Policy

You agree to use the Services in compliance with all applicable laws, regulations, and these Terms. You may not:

  • Host, store, or transmit any content that is illegal, defamatory, obscene, abusive, or otherwise inappropriate.
  • Use the Services to conduct or promote any illegal activities.
  • Interfere with or disrupt the integrity or performance of our Services or any data contained therein.
  • Attempt to gain unauthorized access to any of our systems or services.
  • Send spam or unsolicited messages using our servers.

Host Placenta reserves the right to suspend or terminate your account for violations of this Acceptable Use Policy.

5. Payment and Fees

  • Billing Cycle: The billing cycle for hosting services is either monthly, quarterly, or annually, depending on the plan you choose.
  • Payment Methods: We accept payment via major credit cards, PayPal, and other methods as specified on our website.
  • Late Payments: Accounts not paid by the due date may be suspended or terminated. A late fee may apply for overdue accounts.
  • Refund Policy: Host Placenta offers a 30-day money-back guarantee for new customers on shared hosting plans. This guarantee does not apply to domain registration fees, dedicated servers, or any other non-refundable services.

6. Termination and Suspension

Host Placenta may terminate or suspend your account at any time, with or without cause, upon notice to you. Reasons for termination or suspension include, but are not limited to:

  • Failure to pay for Services.
  • Breach of these Terms.
  • Violation of our Acceptable Use Policy.

Upon termination, you will lose access to all data and content stored on our servers. Host Placenta is not responsible for backing up your data, and it is your responsibility to retain a backup of your content.

7. Backups and Data Loss

Host Placenta provides optional backup services for an additional fee. However, we do not guarantee that backups will be available or restorable. It is your responsibility to maintain copies of your data. Host Placenta is not liable for any data loss or corruption.

8. Uptime Guarantee

Host Placenta strives to provide 99.9% uptime for our Services. However, we do not guarantee uninterrupted or error-free service and are not responsible for any downtime, delays, or interruptions. Scheduled maintenance or unforeseen circumstances (such as technical issues or cyberattacks) may result in temporary downtime.

9. Intellectual Property

  • Your Content: You retain ownership of any content, data, or materials you upload or host using our Services. By using our Services, you grant Host Placenta a worldwide, royalty-free license to host, store, and display your content as necessary for the operation of the Services.
  • Company Intellectual Property: Host Placenta owns all rights, titles, and interests in the Services, including but not limited to all software, systems, and intellectual property related to the Services. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, Host Placenta will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services, including but not limited to:

  • Loss of profits, data, or business opportunities.
  • Damage to hardware, software, or networks.
  • Service interruptions, downtime, or delays.

In no event shall Host Placenta's total liability exceed the amount you have paid us for the Services during the six (6) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold Host Placenta and its affiliates, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Your violation of these Terms.
  • Your use of the Services.
  • Any content you host, store, or transmit through our Services.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Delta, Nigeria, without regard to its conflict of law provisions. Any legal disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in [Insert City/State].

13. Dispute Resolution

In the event of any dispute between you and Host Placenta, you agree to first attempt to resolve the dispute informally by contacting our support team. If a resolution cannot be reached, the dispute may be submitted to binding arbitration in accordance with the rules of [Insert Arbitration Organization].

14. Changes to the Services

Host Placenta reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any changes or interruptions to the Services.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Host Placenta regarding the use of our Services. Any failure by Host Placenta to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
